You could have a governor problem, but it could also be something simple. Have you checked the air cleaner, fuel filter screens, points and condensor, spark plugs, etc.? Have you checked the ignition spark, or done a compression test?

I wouldn't even think about an engine rebuild until I checked all of the above, and took a good look at the carburetor, too.
