farmall c with stuck engine

Hello,I ran across a farmall c with a very stuck engine,I'am trying to figure out what a fair offer would be.The tractor quit running the lady dosent know if it was because the motor seized up or ran out of gas,the tractor is complet,but one rear tire and rim is unuseable,the outher one is weather cracked may hold air maybe not,front tires are weather cracked but holding air,she wants 500 for it, I think its to much,dont want to cheat her but dont want to cheat me either.What do you guys think?
