I wouldnt pass it up. I would love to find the old tractors I learned on. I cant help you with whats wrong, but it dont sound good. Even if the tranny is going. There are plenty of old H's around that have good back ends but are stuck. Or maybe some one parted one out and still has the rear end. If it was any old H I would pass. But how often do you get to get the one you learned on? Try not to pay much for it. If you get it. Did you tell him why you were looking at it? Hope not. Price goes up if they think you have sentimental value on it. I would tell him you have one with a bad motor and a good rear end maybe you can make one out of two. Offer him $200 Just my thoughts on it.
