Not exactly the bolt patterns are the same but the front end has to be modified (cut out) for the 302s bigger pullys. The flywheel will be the issue at the back if you have a power unit flywheel for the 302 there is a chance it will work with the hand clutch otherwise you will have to maching the 302 flywheel to accept the clutch drive ring from the z.

Hey Bill. Will the ZA flywheel just bolt on the U302 engine? I put together a RT wit a ZA motor and bolted the R flywheel right on, but I'm not sure about the U302. Not talking ring gear issue here, just flywheel studs and bolt pattern on the crank. I also am doing a 403 in a 47 U. I have to do some ring gear swapping and tranny grinding there.

The other consideration is the water pump inlet location. Its on the right of the U302 engine, and on the left of the Z radiator. Gotta get the water to cross over somehow.
