Sounds like my Pontiac Bonneville SSEI. I took it to the dealer and they checked the computer and it showed a solenoid burnt out in the transmission. There are 5 of them in there. Cost less than $1000 to fix. Mine only had 60,000 on it, but is turbo charged. Acted about the same way as yours only mine don't have the lock-up. The lock-up you are referring to is the button on the shift lever for steep grades to keep from shifting in and out so much, right...deadeye
