There are a number of supposed advantages regarding anti-piracy measures and improved security, but most people (both consumers and businesses) are quite happy to stick with XP. Basically XP does what they want and they don't want to "upgrade" to something with problems just because M$ tells them to.
Oh, and it has a fancy new graphical interface called "Aero". You need at least 1GB of memory to run it.
