Upgrading to Win XP from Win ME usually gives a lot of problems and many do not recommend it. I agree with Chris that the best way is to wipe the disk clean and install Win XP on a clean "slate" which I have done a couple of times with good success. As Chris said, you would need to feel confident to do this. It is possible that a Win XP upgrade disk will not work on a blank drive--may need the complete Win XP. I also agree that XP is the most user friendly OS I have ever used, and I go back to DOS 3.1, I think. Hope this helps.
