The beauty of strict rules is it allows loop holes and plausible deniability of stock manipulation.
Ever wonder what financial consultants, investment firms, numbered companies and off shore bank accounts are for?
Do you really think even .1 % of what might be insider trading is investigated? Then try to prove it. Enron and Worldcom just ended up with a few figureheads busted. Where there is lots of easy money, there will be people there doing just that.
