It will, but you will be disappointed for anything other than tractor pulling. At 1,500 rpm which gives 540 pto, probably most 35 hp tractors will out perform your 400 equipped with the V8.
Your 400 is a completely rebuildable sleeved engine, and you will probably rebuild it for very little more money, than the conversion. Maybe less if the crank is OK.
