In my humble opinion, it seems that if you got the carb and governor straightened out it would be well worth the time and money. As is, as a buyer I would be hesitant to give much for it until I knew how well it ran. Those Kohlers are a good engine, but I would want to hear it run. As is I wouldn't think it would bring too much. Not sure what you mean about the PTO clutch. I bought one several years ago that the clutch wouldn't disengage. I changed the oil in the trans, then stuck a rod in the pto shaft so it couldn't turn and turned the engine over by hand. I got it to break loose and after using it some it works fine. Not sure if that is what is wrong with yhours or not. Good luck.
